These Terms & Conditions govern your use of services provided by WAYFINDEROPS TECH SERVICES PRIVATE LIMITED ("WayfinderOps", "we", "us", "our"). By engaging our services, you agree to be bound by these terms.

WayfinderOps provides the following technology services:

Each project begins with a Service Agreement that outlines: project scope, deliverables, timeline, payment terms, and responsibilities of both parties. Work commences only after mutual agreement and receipt of advance payment (where applicable).

4.2 Satisfaction Guarantee (Websites Only)

For website projects, we offer a 7-day satisfaction guarantee. If you're not satisfied with the initial design, we'll refund your deposit. This applies only before the first revision round is completed.

Retainer agreements require 30 days' written notice for cancellation. No refunds for partial months.

7. Intellectual Property

7.1 Client-Owned IP

Upon full payment, clients own all custom code, designs, and deliverables created specifically for their project. This does not include pre-existing frameworks, libraries, or reusable components.

7.2 WayfinderOps IP

We retain ownership of our methodologies, processes, tools, templates, and any pre-existing intellectual property used in delivering services.

7.3 Third-Party Licenses

Some projects may use third-party software, libraries, or services with their own licensing terms. Clients are responsible for complying with these licenses.

8. Warranties & Disclaimers

8.1 Service Warranty

We warrant that services will be performed in a professional, workmanlike manner. We provide bug fixes and critical issue resolution for 30 days post-delivery (unless extended support is purchased).

8.2 No Guarantees on Third-Party Services

We do not guarantee the availability, performance, or policies of third-party services (Meta/WhatsApp, AWS, Azure, GCP, etc.). Changes in third-party APIs, policies, or pricing are beyond our control.

8.3 No Business Outcome Guarantees

While we strive to deliver high-quality solutions, we do not guarantee specific business outcomes (e.g., increased sales, reduced costs, traffic growth). Results depend on many factors outside our control.

8.4 Disclaimer of Warranties

Except as expressly stated, services are provided "as is" without any warranty, express or implied, including merchantability or fitness for a particular purpose.

Both parties agree to keep confidential all proprietary information shared during the course of the engagement. This obligation survives termination of the service agreement. Confidentiality does not apply to information that is publicly available or independently developed.

For WhatsApp automation projects, clients agree to:

WayfinderOps is not liable for client violations of Meta policies that result in account suspension or penalties.

13. Indemnification

Client agrees to indemnify and hold harmless WayfinderOps from any claims, damages, or expenses arising from: (a) client's violation of these terms, (b) client's violation of third-party policies (Meta, cloud providers, etc.), (c) intellectual property infringement due to client-provided content, or (d) client's business practices or use of deliverables.

We reserve the right to update these Terms & Conditions at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance. For significant changes, we will notify active clients via email.

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms & Conditions, together with any Service Agreement or SOW, constitute the entire agreement between the parties and supersede all prior agreements, understandings, or communications.
